License Agreement

This License Agreement ("Agreement") is entered into between DeployFrame ("Licensor") and you, the purchaser ("Licensee"), regarding the use of the DeployFrame AI SaaS boilerplate (the "Product") available at https://deployframe.com/ (the "Website").

By downloading, accessing, or using the Product, Licensee agrees to be bound by the terms and conditions of this Agreement.

1. Definitions

• "DeployFrame" refers to the AI SaaS boilerplate, including all source code, documentation, and resources provided upon purchase.
• "AI Services" refers to the pre-built artificial intelligence functionalities included in the boilerplate.
• "Licensor" refers to DeployFrame, the creator and owner of the Product.
• "Licensee" refers to the individual or entity that has purchased a license to use the Product.

2. Grant of License

2.1 Complete License

Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, perpetual, non-transferable license to use the DeployFrame Complete boilerplate for the following purposes:

• Create and deploy unlimited projects
• Access all included AI services
• Receive email technical support
• Receive future updates and improvements to the codebase

2.2 Essential License

Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, perpetual, non-transferable license to use the DeployFrame Essential boilerplate for the following purposes:

• Create and deploy unlimited projects
• Access core AI services as specified at time of purchase
• Receive email technical support
• No access to future updates and improvements to the codebase

3. Common Features for Both Licenses

Both license tiers include:

• Authentication system
• Payment processing integration
• Credit management system
• AWS infrastructure deployment code
• User dashboard functionality

4. Restrictions

Licensee shall not:

• Resell or redistribute the DeployFrame boilerplate as a standalone product
• Share access to the codebase with individuals who have not purchased a license
• Modify the codebase to remove attribution or copyright notices
• Create a competing product that directly replicates DeployFrame's primary function as an AI services boilerplate
• Transfer or sublicense the rights granted under this Agreement

5. Intellectual Property Rights

DeployFrame retains all ownership and intellectual property rights to the Product. This Agreement does not grant Licensee any ownership rights to the Product.

Licensee retains ownership of any modifications, customizations, or applications built using the Product.

6. Technical Support

6.1 Support Scope

Technical support is limited to issues directly related to the functionality of the unmodified boilerplate. Support for customizations or integrations with services beyond those included may not be covered.

6.2 Support Channels

Support is provided exclusively via email atcontact@deployframe.com.

7. Updates and Maintenance

7.1 Complete License

Licensees with a Complete License will receive access to all future updates to the Product, including bug fixes, security updates, and new features, at no additional cost.

7.2 Essential License

Licensees with an Essential License will not receive access to future updates. The Product is provided as-is at the time of purchase.

8. Warranty Disclaimer

THE PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.

Licensor does not warrant that the Product will meet Licensee's specific requirements or that operation will be uninterrupted or error-free.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE PRODUCT, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall Licensor's total liability to Licensee for all damages exceed the amount actually paid by Licensee for the Product.

10. Term and Termination

10.1 Term

This Agreement is effective until terminated.

10.2 Termination by Licensee

Licensee may terminate this Agreement at any time by ceasing all use of the Product and destroying all copies in Licensee's possession.

10.3 Termination by Licensor

Licensor may terminate this Agreement if Licensee breaches any of the terms and conditions of this Agreement. Upon termination, Licensee must cease all use of the Product and destroy all copies in Licensee's possession.

11. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of France. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in France.

12. Entire Agreement

This Agreement constitutes the entire agreement between Licensee and Licensor concerning the subject matter herein and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings.
